Although it is not required in this state, it is the proper way to replace a roof.
Of course we could save time and a little money on labor by just overlaying shingles on the existing roof, or even over the existing underlayment, but how would we be able to inspect for any rotted wood or lay shingles on a smooth surface like manufacturers suggest?
